PROTAC-DB是一个整合PROTAC化学结构和生物活性数据的数据库并使用功能模块提供在线计算服务的综合性网络平台。PROTAC-DB网络数据库的相关知识产权由浙江大学侯廷军团队所有并负责运营。
本协议包括浙江大学侯廷军团队与试用用户(以下简称"用户"或"您")之间关于使用PROTAC-DB网络数据库的各项条款,具有正式书面合同的效力。用户在PROTAC-DB平台上同意本协议之后,即享有PROTAC-DB平台规定可免费使用的数据和计算服务。
第1条 服务条款的确认及接受
1.1 在使用PROTAC-DB平台提供的数据和计算服务之前,用户应仔细阅读本协议中的全部规则及其他相关服务条款、服务规则或规范的内容,确认对本协议及各项服务规则已知晓、 理解并接受,并已同意将其作为确定双方权利义务的依据。所有服务规则视为本协议不可分割的一部分,与本协议具有同等法律效力。
1.2 当您同意本协议时,即表示您已充分阅读、理解并接受本协议的全部内容,本协议在您与我们之间即成立并生效。阅读本协议的过程中,如果您不同意本协议或其中任何条款约定,您应停止下载、使用数据库等流程。
1.3 您理解并同意,因业务的调整等原因,我们可能会对本协议或各项服务规则进行修改更新,因此有关您的权利义务内容也会随之变化。我们修改本协议或各项服务规则时,会以合理的方式通知您,包括但不限于在网站显著位置公布、弹窗提示、消息推送等方式。如您有异议,可以在本协议修改或服务规则生效前的7日内向我们提出异议。如果您在阅读完服务协议内容后未在前述期限内提出异议,继续使用或接受PROTAC-DB平台的服务,即视为您已充分知晓、理解并同意接受更新后的服务协议。
第2条 知识产权及提供的服务
2.1 PROTAC-DB平台上的数据信息(包括但不限于数据、图表、标识、按钮图标、图像)受中国和国际版权法的保护。
2.2 我们授权给您个人的、不可转让的、非独占的使用PROTAC-DB平台上规定可免费使用的数据和计算服务。这些使用权利旨在帮助您熟悉PROTAC-DB网络数据库。授权用户这些使用权利并不向用户转移版权或其他知识产权。本协议未明示授权的其他一切权利仍由浙江大学侯廷军团队保留。
2.3 除非得到浙江大学侯廷军团队的特别书面授权,您不得以任何方式对PROTAC-DB平台提供的服务内容进行包括但不限于改编、垂直搜索、镜像等访问使用,您不得以任何方式非法抓取、复制或以其他方式引用PROTAC-DB平台提供的数据信息。
2.4 特别需要强调的是:您不得以任何方式向第三方传播、分发、出借、或转让从PROTAC-DB获得的原始数据。您可以基于从PROTAC-DB获得的原始数据生成衍生数据,但是这些衍生数据仅限于您本人与您的同事内部使用。未经浙江大学侯廷军团队的特别书面授权,您同样不得以任何方式向第三方传播、分发、出借、或转让您生成的衍生数据。
2.5 如果我们有合理证据证明您存在以上侵犯知识产权行为,浙江大学侯廷军团队有权要求您承担相应的侵权责任。同时,您应全额赔偿浙江大学侯廷军团队因您的侵权行为所遭受的损失,包括但不限于仲裁费、诉讼费、律师费、差旅费及浙江大学侯廷军团队因此支出的全部合理费用。
2.6 您可以通过访问PROTAC-DB平台获取我们提供的数据和计算服务。若您通过未经授权的第三方获取这些服务,我们无法保证服务的正常使用,由此造成的损失与浙江大学侯廷军团队均无关。
第3条 用户行为规范
3.1 您应当对在PROTAC-DB平台上的行为负责。除非法律允许或经我们事先书面许可,您不得在使用PROTAC-DB平台服务时发生以下行为:
(1) 使用未经我们授权或许可的任何插件、外挂、系统或第三方工具对PROTAC-DB平台的正常运行进行干扰、破坏、修改或施加其他影响。
(2) 利用PROTAC-DB平台进行任何危害计算机网络安全的行为,包括但不限于非法侵入他人网络、干扰他人网络正常功能、窃取网络数据等。
(3) 企图对PROTAC-DB平台进行反向工程、反向汇编、编译或以其他方式尝试发现本网站的源代码。
(4) 违反任何地方、省/州、国家和国际法律或规定,包括但不限于知识产权法。
3.2 如果我们发现或有理由认为您的行为违反或可能违反上述规定,浙江大学侯廷军团队可以不经通知独立判断并采取任何我们认为适当的行动,包括但不限于暂停或终止向您提供服务,并追究您的所有法律责任。
第4条 免责声明
4.1 我们不保证PROTAC-DB平台提供的数据和计算服务不会中断或无错误,不保证会纠正所有缺陷,也不保证提供的服务能满足用户的所有要求。
4.2 我们不对因通信系统或互联网的中断、技术故障、计算机错误或病毒、信息损坏或丢失、或其他非浙江大学侯廷军团队控制范围内的原因而产生的任何性质的损害向用户或任何第三方承担赔偿责任。
4.3 我们需要定期或不定期对相关网络系统、设备进行检修、维护或升级,如因此造成服务在合理时间内的中断,浙江大学侯廷军团队无须为此承担任何责任,但将尽可能事先进行通知。
第5条 通知
5.1 所有针对用户的通知将通过PROTAC-DB平台线上服务平台的公告进行发送。此类通知可能会对用户的权利和义务产生重大影响,故用户应确保及时关注。
5.2 服务条款的修改、服务变更或其他重要事件的通知,将通过上述渠道进行。
第6条 法律适用与争议解决
6.1 本协议的订立、执行和解释以及任何与本协议有关的争议都应适用中华人民共和国大陆地区的有效法律(不包括冲突法规则)。若本协议有特定条款与适用法律发生冲突,该条款将按照法律重新解释,而其它条款继续有效。
6.2 若双方在本协议内容或执行过程中产生争议,应首先通过友好协商解决。协商不成时,双方一致同意将争议提交至浙江仲裁委员会,依据该委员会当时有效的仲裁规则进行仲裁。仲裁裁决是最终的且对双方均有约束力。仲裁费用由败诉方承担。

PROTAC-DB is a comprehensive web-based platform that integrates the database of PROTAC chemical structure and biological activity data and provides online computing services using functional modules. The intellectual property rights related to the PROTAC-DB network database are owned and operated by Tingjun Hou’s Group of Zhejiang University.
This agreement includes the terms between Tingjun Hou’s Group of Zhejiang University and demo users (hereinafter referred to as "User" or “You”) regarding the use of PROTAC-DB, and has the legal effect of a formal written contract. After User approving this agreement, User is entitled to the data and computational services provided free of charge on the PROTAC-DB platform.
Article 1. Acceptance and Acknowledgment of Service Terms
1.1 Before using the data and computational services provided by the PROTAC-DB platform, you should carefully read all the rules in this agreement as well as other related service terms, service rules, or specifications, confirming awareness, understanding, and acceptance of this agreement and agreeing to use it as the basis for determining both parties' rights and obligations. All service rules are considered an inseparable part of this agreement, with the same legal effect.
1.2 When you agree to this agreement, it indicates that you have fully read, understood, and accepted the entire content of this agreement, which then becomes effective between you and us. During the process of reading this agreement, if you do not agree with this agreement or any of its terms, you should cease the downloading, using the database and other processes.
1.3 You understand and agree that due to adjustments in business or other reasons, we may modify or update this agreement or various service rules, thereby changing the content of your rights and obligations. When we modify this agreement or service rules, we will notify you in a reasonable manner, including but not limited to publishing on a prominent position on the website, pop-up prompts, message pushes, etc. If you object, you may raise objections to us within 7 days before the modification of this agreement or service rules takes effect. If you continue to use or accept the services of the PROTAC-DB platform after reading the updated service agreement and not raising objections within the aforementioned period, it is deemed that you are fully aware, understand, and agree to accept the updated service agreement.
Article 2. Intellectual Property and Provided Services
2.1 The data information on the PROTAC-DB platform (including but not limited to data, charts, logos, button icons, images) is protected by Chinese and international copyright laws.
2.2 We grant you a personal, non-transferable, non-exclusive right to use the data and computational services provided free of charge on the PROTAC-DB platform. This right is intended to assist you in becoming familiar with PROTAC-DB. Granting you this right does not imply the transfer of copyright or any other intellectual properties to you. All other rights not expressly authorized in this agreement are also reserved by Tingjun Hou’s Group of Zhejiang University.
2.3 Unless specially authorized in writing by Tingjun Hou’s Group of Zhejiang University, you may not use the content provided by the PROTAC-DB platform in any way, including but not limited to adaptation, vertical search, mirroring, and etc. You may not illegally scrape, copy, or otherwise reference the data information provided by the PROTAC-DB platform.
2.4 It should be emphasized that: you may not, in any way, re-distribute, disseminate, lend, or transfer the raw data obtained from the PROTAC-DB platform to third parties. You may generate derivative data based on the raw data obtained from PROTAC-DB, but these derivative data are limited to internal use only by yourself and members of your organization at the same site. Without specific written authorization from Tingjun Hou’s Group of Zhejiang University, you also may not, in any way, re-distribute, disseminate, lend, or transfer the derivative data you generate to third parties.
2.5 If we have reasonable evidence to prove that you have infringed upon intellectual property rights, Tingjun Hou’s Group of Zhejiang University reserve the right to hold you accountable for the corresponding infringement. Additionally, you shall fully compensate Tingjun Hou’s Group of Zhejiang University for any losses incurred due to your infringement, including but not limited to arbitration fees, litigation fees, attorney fees, travel expenses, and all reasonable expenses incurred by Tingjun Hou’s Group of Zhejiang University due to such infringement.
2.6 You may access the data and computational services provided by us through the PROTAC-DB platform. If you obtain these services through unauthorized third parties, we cannot guarantee the normal use of the services, and any losses incurred as a result will not be the responsibility of Tingjun Hou’s Group of Zhejiang University.
Article 3. Users’ Conduct Standards
3.1 You are responsible for your conduct on the PROTAC-DB platform. Unless permitted by law or authorized in writing by us in advance, the following actions are prohibited while using PROTAC-DB platform services:
(1) Using any unauthorized or unlicensed plugins, cheats, systems, or third-party tools to interfere, disrupt, modify, or otherwise affect the normal operation of the PROTAC-DB platform.
(2) Engaging in any behavior that harms computer network security on the PROTAC-DB platform, including but not limited to illegal intrusion into others' networks, interference with the normal functions of others' networks, theft of network data, etc.
(3) Attempting reverse engineering, decompiling, compiling, or otherwise trying to discover the source code of the PROTAC-DB platform.
(4) Violating any local, provincial/state, national, and international laws or regulations, including but not limited to intellectual property laws.
3.2 If we discover or have reason to believe that your conduct violates or may violate the above provisions, Tingjun Hou’s Group of Zhejiang University can independently judge and take any action we deem appropriate without notice, including but not limited to suspending or terminating the provision of services to you, and holding you legally responsible for all actions.
Article 4: Disclaimer
4.1 We do not guarantee that the data and computational services provided by the PROTAC-DB platform will be uninterrupted or error-free, nor do we guarantee that all defects will be corrected, or that the services will meet all your requirements.
4.2 We shall not be liable for any damages of any kind to you or any third parties due to interruptions, technical failures, computer errors or viruses, information damage or loss, or other causes beyond the control of Tingjun Hou’s Group of Zhejiang University, including issues with communication systems or the internet.
4.3 We may need to periodically or irregularly perform maintenance, repairs, or upgrades to relevant network systems or equipment. If such activities result in reasonable interruptions of the service, Tingjun Hou’s Group of Zhejiang University shall not bear any responsibility, but will endeavor to provide advance notice whenever possible.
Article 5: Notifications
5.1 All notifications to you will be sent via announcements on the online service platform of PROTAC-DB. Such notifications may have significant impact on User’s rights and obligations, so you should ensure to pay timely attention.
5.2 Notifications of modifications to the service terms, service changes, or other important events will be communicated through the aforementioned channels.
Article 6. Applicable Law and Dispute Resolution
6.1 The establishment, implementation, and interpretation of this agreement, as well as any disputes related to this agreement, shall be governed by the valid laws of Mainland China of the People's Republic of China (excluding conflict of laws rules). If any specific provision of this agreement conflicts with applicable law, that provision shall be reinterpreted in accordance with the law, while the other provisions shall remain valid.
6.2 In the event of any dispute arising between the parties regarding the content or implementation of this agreement, the parties shall first attempt to resolve it amicably through negotiation. If negotiation fails, both parties agree to submit the dispute to the Zhejiang Arbitration Commission for arbitration in accordance with the arbitration rules then in effect. The arbitration decision shall be final and binding on both parties. The costs of arbitration shall be borne by the party that loses the case.
